These terms govern use of the BackAI website, diagnostic scorecard, and initial consultations. Where a separate Master Services Agreement (MSA) or statement of work is executed between parties, that specific agreement supersedes these general terms in the event of conflict.
The scorecard and online diagnostic tools provide high-level heuristic recommendations, not definitive architectural guarantees or legal advice. Users agree to submit accurate contact information and refrain from automated scraping or reverse engineering of studio assets.
Custom engineering begins strictly upon mutual written agreement on scope, timeline, and deliverables. We build systems integrated into your existing software stack. You provide truthful operational access and an authorized decision-maker. Systems incorporate human-in-the-loop validation at critical judgment stages.
Upon full settlement of project milestones, you own 100% of the custom source code, model configurations, prompts, and pipeline repositories engineered specifically for your deployment. BackAI retains rights to underlying general utilities, foundational frameworks, and non-confidential methodologies.
Invoices are structured around clear deliverables and milestone verifications. Either party may terminate an active engagement with written notice pursuant to the project agreement, with accrued fees payable for work completed to date.
All proprietary operational workflows, internal datasets, and commercial metrics shared with BackAI are treated under strict confidentiality. We routinely execute mutual NDAs prior to in-depth technical workflow audits.
AI models operate probabilistically. BackAI is not liable for indirect or consequential damages. Total cumulative liability under any engagement is limited to the fees actually paid to BackAI during the preceding three-month period.
These terms are governed by the laws of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka.
